Your Marketing Supply LLC — Terms and Conditions
Last Reviewed and Updated: October 16, 2026
These Terms and Conditions ("Terms") govern all purchases, orders, products, services, communications, quotes, invoices, proofs, and transactions provided by Your Marketing Supply LLC ("Company," "we," "us," or "our").
By placing an order, making a payment, accepting a quote or invoice, approving a proof, or otherwise authorizing work to begin, the Customer agrees to be legally bound by these Terms, provided they have been properly disclosed and accepted in accordance with applicable law.
1. Definitions
"Company," "Your Marketing Supply LLC," "we," "our," or "us" means Your Marketing Supply LLC.
"Customer," "Client," or "you" means any individual or entity purchasing, ordering, approving, receiving, or authorizing Products or services.
"Products" means all goods and services offered by the Company, including custom tents, canopies, flags, banners, table covers, promotional displays, printed materials, accessories, replacement parts, graphic design, hardware, and related products.
"Order" means any accepted purchase, invoice, quote, deposit, payment, proof approval, electronic authorization, or written confirmation.
"Proof" means any mockup, rendering, digital preview, artwork, layout, specification sheet, or production design submitted for Customer approval.
"Business Days" means Monday through Friday, excluding applicable federal holidays.
2. Acceptance of Terms
These Terms apply when the Customer places an Order, makes a payment, accepts a quote, approves a Proof, authorizes work, or otherwise enters into a transaction with the Company.
Electronic approvals, emails, text messages, payment confirmations, and electronic signatures may constitute evidence of acceptance.
The person placing an Order represents that they are at least eighteen (18) years old and authorized to act on behalf of the purchasing individual or business.
These Terms apply to the extent they were reasonably made available to the Customer before or at the time of the transaction and accepted through an enforceable method.
3. Custom Products and Final Sale Policy
3.1 Custom Nature of Products
Products sold by Your Marketing Supply LLC may be custom-made, personalized, printed-to-order, specially manufactured, or prepared according to Customer specifications.
Customization may include logos, trademarks, artwork, colors, dimensions, layouts, branding, text, quantities, and other requirements.
Because these Products are manufactured specifically for the Customer, they may not be suitable for resale, reuse, or return to inventory.
3.2 Non-Refundable Deposits
Unless otherwise agreed in writing, a fifty percent (50%) initial payment is required before work begins.
The initial payment may compensate the Company for graphic design, artwork preparation, proof generation, production scheduling, sourcing, supplier coordination, administrative work, materials, consultation, and allocation of production capacity.
Once work begins or costs are incurred, the deposit is non-refundable to the maximum extent permitted by law.
3.3 Final Sale Policy
ALL CUSTOM-MADE, PERSONALIZED, PRINTED-TO-ORDER, AND SPECIAL-ORDER PRODUCTS ARE FINAL SALE.
Except as required by applicable law or expressly agreed in writing, cancellations, refunds, returns, and exchanges are not permitted once Order-related work has begun.
A change of mind, event cancellation, financial difficulty, business closure, or change in circumstances does not automatically create a right to a refund.
4. Customer Cancellations and Abandoned Orders
Once design, sourcing, preparation, or production begins, the Customer remains responsible for authorized work and costs incurred.
The Company may suspend an Order if the Customer fails to provide necessary information, approve artwork, respond to communications, or pay outstanding balances.
Orders inactive or unpaid for more than thirty (30) days may be placed on hold, rescheduled, or canceled as permitted by applicable law.
The Company may recover reasonable costs associated with completed work, committed materials, supplier obligations, and storage where legally permitted.
Completed Products may be subject to disposal after reasonable notice and in accordance with applicable law.
An abandoned Order does not automatically entitle the Customer to a refund.
5. Pricing and Payments
5.1 Quotes
Quotes remain valid for seven (7) calendar days unless otherwise stated.
Prices may change before Order acceptance due to material costs, tariffs, shipping charges, supplier adjustments, or other circumstances.
The Company reserves the right to correct clerical, typographical, and pricing errors.
5.2 Payment Terms
Unless otherwise agreed in writing:
-
A 50% initial payment is required to begin work.
-
The remaining balance must be paid before shipment or delivery.
-
Production or shipment may be suspended while payment remains outstanding.
5.3 Outstanding Balances
Overdue balances may accrue a service charge of up to 1.5% per month or the maximum amount permitted by applicable law, whichever is lower.
The Company may pursue lawful collection efforts for unpaid amounts, including reasonable collection expenses, attorney fees, and court costs where recoverable by law.
6. Payment Disputes, Chargebacks, and Production Delays
6.1 Chargeback Policy
UNAUTHORIZED, FRAUDULENT, IMPROPER, OR BAD-FAITH CHARGEBACKS ARE NOT PERMITTED.
The Customer acknowledges that custom-made Products require design, production, printing, manufacturing, supplier coordination, and other resources that may be committed before delivery.
A chargeback or payment reversal may not be used improperly as a substitute for the Company's cancellation, refund, warranty, or dispute-resolution procedures.
The Customer agrees not to initiate an improper payment dispute solely because:
-
The Customer changes their mind.
-
The Product is no longer needed.
-
An event is canceled or postponed.
-
The Customer experiences financial difficulties.
-
The Customer approved a Proof and subsequently requests changes.
-
The Product cannot reasonably be returned or resold.
-
Production takes longer than initially estimated.
-
Shipment is delayed by a carrier or supplier.
-
The Customer no longer wishes to complete the purchase.
A reasonable production or shipping delay does not, by itself, constitute fraud, nonperformance, or grounds for a payment reversal when the Company continues to fulfill its contractual obligations.
Nothing in these Terms restricts legitimate payment disputes or rights that cannot legally be waived.
6.2 Custom Manufacturing and Delivery Delays
The Customer acknowledges that custom Products may require coordination among designers, suppliers, manufacturers, printing facilities, quality-control personnel, shipping carriers, and other third parties.
Delays may arise from production volume, material shortages, manufacturing issues, artwork revisions, delayed approvals, customs processing, weather, carrier disruptions, or other circumstances.
Unless expressly guaranteed in writing, production and delivery dates are estimates.
A delay does not automatically entitle the Customer to cancellation, refund, refusal of payment, or a chargeback.
6.3 Good-Faith Resolution
Before initiating a payment dispute, the Customer agrees to contact Your Marketing Supply LLC and provide a reasonable opportunity to investigate and attempt to resolve the issue, except where doing so would interfere with applicable legal rights or dispute deadlines.
The Company may offer appropriate corrective action, repair, replacement, warranty service, or another commercially reasonable resolution.
6.4 Transaction Evidence
The Company may submit invoices, approved Proofs, payment records, communications, production documentation, photographs, videos, tracking information, and delivery confirmations when responding to a payment dispute.
6.5 Improper Payment Reversals
Where legally permitted, fraudulent or bad-faith chargebacks may result in lawful collection efforts, recovery of unpaid balances, payment processor fees, attorney fees, court costs, or other recoverable damages.
The existence of an approved Proof or a completed custom Product does not eliminate a Customer's statutory dispute rights.
7. Artwork and Intellectual Property
7.1 Customer-Supplied Content
The Customer represents that they own or have the necessary rights to use all submitted logos, trademarks, photographs, artwork, text, and other materials.
The Customer agrees to defend and indemnify the Company against third-party claims arising from unauthorized Customer-supplied content, to the extent permitted by law.
7.2 Design Ownership
Unless otherwise agreed in writing, editable design files, vector files, layered artwork, production templates, print layouts, and internal production assets created by the Company remain the Company's property.
Purchasing a Product does not automatically transfer ownership of internal source files.
8. Proof Approval and Production Authorization
The Customer is responsible for carefully reviewing all Proofs before approval, including:
-
Spelling and grammar.
-
Phone numbers, websites, and contact details.
-
Dimensions and quantities.
-
Colors and artwork placement.
-
Logos, layouts, and specifications.
Once a Proof is approved, production may begin immediately.
The Company is not responsible for errors visible in an approved Proof that were accepted by the Customer.
Changes requested after approval may require additional payment, revised Proofs, or extended production timelines.
8.1 Customer-Supplied Errors
The Company is not responsible for inaccuracies in Customer-supplied artwork, text, measurements, specifications, or instructions.
8.2 Color and Manufacturing Variations
Digital previews, monitors, mobile devices, photographs, and printed materials may display colors differently.
Reasonable variations in color, brightness, saturation, print positioning, material texture, dimensions, and manufacturing characteristics do not automatically constitute defects.
Exact color matching is not guaranteed unless expressly agreed in writing.
9. Production and Delivery Timelines
Production and shipping timelines are estimates unless expressly guaranteed in writing.
Production timelines begin after required payment, final Proof approval, and receipt of all necessary information.
The Company is not responsible for delays caused by Customer revisions, delayed approvals, missing information, suppliers, carriers, customs, weather, material shortages, or other circumstances outside its reasonable control.
9.1 Event Dates
Customers are responsible for ordering sufficiently in advance of trade shows, festivals, grand openings, promotional events, and other time-sensitive activities.
Unless a specific delivery date is guaranteed in writing, the Company does not guarantee delivery before a particular event.
To the extent permitted by law, the Company is not responsible for lost profits, event expenses, or business losses resulting from delivery delays.
10. Shipping, Delivery, and Risk of Loss
The Company may select shipping methods and carriers unless otherwise agreed.
Customers must provide accurate shipping information.
The Company is not responsible for delays or delivery problems caused by incorrect Customer-provided addresses.
For commercial transactions, risk of loss may transfer according to the agreed shipping terms and applicable law.
For consumer transactions, risk of loss will transfer as required by applicable law, including any mandatory delivery protections.
A carrier's delivery confirmation may be used as evidence of delivery but does not eliminate rights available under applicable law.
11. Inspection, Damage, and Shortage Claims
Customers should inspect shipments promptly upon delivery.
Visible damage, missing items, shortages, incorrect quantities, or apparent manufacturing defects should be reported in writing within forty-eight (48) hours whenever reasonably possible.
Claims should include photographs, packaging images, shipping labels, and a description of the issue.
Delayed notification may limit the Company's ability to investigate or pursue carrier claims but does not eliminate applicable warranty or statutory rights.
12. Outdoor Product Safety and Assumption of Risk
Tents, canopies, flags, banners, and outdoor display Products are subject to environmental risks.
The Customer is responsible for proper installation, anchoring, weighting, staking, supervision, inspection, maintenance, and weather monitoring.
Outdoor Products must not be left unattended during potentially hazardous conditions.
Products must be secured, dismantled, or removed when conditions become unsafe.
Improper installation or anchoring may result in property damage, serious bodily injury, or death.
To the maximum extent permitted by law, the Company is not responsible for damage arising from misuse, improper installation, inadequate anchoring, negligence, unauthorized modifications, or failure to follow safety instructions.
Nothing in these Terms excludes liability that cannot legally be limited, including liability arising from defective products where applicable law prohibits such exclusion.
13. Product Use and Regulatory Compliance
The Customer is responsible for determining whether a Product is suitable for its intended application and for complying with applicable permits, venue requirements, fire codes, safety rules, and other regulations.
Any fire-resistance certification, testing standard, or compliance representation applies only to the specific Product and documentation identified by the Company.
The Company does not guarantee that every Product will satisfy every jurisdiction's or venue's requirements.
14. Limited Warranty
14.1 Printed Fabric Warranty
Eligible printed fabric components carry a limited one (1) year warranty against manufacturing defects under normal intended use, subject to applicable exclusions.
14.2 Heavy-Duty Frame Warranty
Eligible heavy-duty aluminum tent frames carry a limited lifetime warranty against structural manufacturing defects under normal intended use.
The applicable lifetime warranty is subject to the Company's published warranty terms and the normal usable life of the covered Product.
14.3 Warranty Exclusions
Warranty coverage generally excludes normal wear and tear, fading, cosmetic damage, improper storage, transportation damage, wind or storm damage, corrosion, misuse, negligence, accidents, unauthorized modifications, improper installation, inadequate anchoring, and acts of nature.
14.4 Warranty Remedies
For an approved warranty claim, the Company may repair or replace the affected Product or component, or provide another remedy consistent with applicable law.
The Company may request proof of purchase, photographs, videos, or inspection of the affected Product.
Shipping, installation, removal, and labor costs may be excluded where legally permitted.
These warranty terms do not restrict non-waivable statutory warranty rights.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOUR MARKETING SUPPLY LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, BUSINESS INTERRUPTION, MISSED EVENTS, OR LOST BUSINESS OPPORTUNITIES.
For claims where a contractual limitation is legally enforceable, the Company's aggregate liability shall not exceed the amount actually paid for the specific Product giving rise to the claim.
Available remedies may include repair, replacement, or refund, as required by the applicable warranty and law.
Nothing in this section excludes liability for conduct or damages that cannot legally be excluded or limited.
16. Force Majeure
The Company shall not be liable for delays or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, severe weather, fire, war, civil unrest, labor disputes, pandemics, government actions, supplier disruptions, material shortages, customs delays, transportation interruptions, utility failures, or carrier disruptions.
The Company will make commercially reasonable efforts to communicate material delays and resume performance when reasonably possible.
Any remedies required by applicable law remain available.
17. Portfolio and Marketing Rights
Customers retain ownership of their original trademarks and branding.
Unless the Customer requests otherwise in writing before production begins, the Customer grants the Company a non-exclusive, worldwide, royalty-free license to photograph and display completed Products and related renderings for portfolio, website, social media, advertising, and promotional purposes.
This permission does not transfer ownership of the Customer's trademarks to the Company.
18. Electronic Communications
The Customer agrees that electronic communications may be used for Order administration, invoices, Proof approvals, production updates, shipping notifications, and other business matters.
The Customer is responsible for maintaining accurate contact information.
Electronic records may be retained and used as evidence of communications and authorizations where legally permitted.
19. SMS and Marketing Communications
The Company may send transactional communications concerning orders, payments, Proofs, production, delivery, and customer service as permitted by applicable law.
Marketing messages will be sent only with any consent required by applicable law.
Consent to receive marketing messages is not a condition of purchase.
Message and data rates may apply.
Customers may opt out of applicable SMS communications by replying STOP or using another provided opt-out method.
20. Indemnification
To the maximum extent permitted by law, the Customer agrees to defend, indemnify, and hold harmless Your Marketing Supply LLC and its authorized representatives from third-party claims arising from:
-
Unauthorized Customer-supplied artwork or content.
-
Intellectual property infringement involving Customer-provided materials.
-
Improper Product installation or anchoring.
-
Unsafe use or unauthorized modifications.
-
Customer violations of applicable laws or these Terms.
This provision does not require indemnification for the Company's own negligence, misconduct, or other liability where such indemnification is prohibited by law.
21. No Guarantee of Specific Results
Except for express written warranties and guarantees, the Company does not guarantee that Products will generate increased sales, business growth, advertising performance, event attendance, or any particular commercial result.
Customers are responsible for determining whether the Products meet their intended business needs.
Nothing in this section limits warranties or representations that cannot legally be disclaimed.
22. Governing Law and Venue
These Terms shall be governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where mandatory laws of another jurisdiction apply.
To the extent permitted by law, disputes shall be brought before a court of competent jurisdiction in El Paso County, Texas.
Nothing in this section deprives Customers of mandatory consumer protections or legally required jurisdictional rights.
23. Individual Dispute Resolution
To the extent permitted by applicable law, disputes shall be pursued individually rather than as part of a class, collective, or representative proceeding.
This provision applies only where a valid and enforceable individual-action waiver exists.
If any portion is found unenforceable, the remaining provisions shall continue in effect to the maximum extent permitted by law.
24. Modifications to These Terms
Your Marketing Supply LLC may update these Terms periodically.
The version accepted at the time an Order is placed will generally govern that Order unless the parties expressly agree otherwise or a modification is required by law.
Updated Terms will apply prospectively as permitted by applicable law.
25. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall remain effective to the maximum extent permitted by law.
26. No Waiver
Failure by Your Marketing Supply LLC to enforce any provision shall not constitute a waiver of that provision or any other right.
27. Entire Agreement (Continued)
Any additional or conflicting terms proposed by the Customer, including terms contained in purchase orders, emails, written communications, or other documents, shall not become binding upon Your Marketing Supply LLC unless expressly accepted in writing by an authorized representative of the Company.
No employee, contractor, designer, sales representative, or third-party service provider is authorized to modify, waive, or override these Terms unless such modification is expressly approved in writing by an authorized representative of Your Marketing Supply LLC.
In the event of a conflict between these Terms and a separately executed written agreement, the separately executed agreement shall control solely to the extent of the specific conflict.
Nothing in this section excludes or limits rights, warranties, remedies, or protections that cannot legally be waived under applicable law.
